Principal Experience
Jayne has recently worked with Arts Queensland (Department of the Premier and Cabinet) and with the Queensland Water Commission, providing legal, governance and compliance advice to a range of statutory bodies and government companies.
Prior to this, Jayne worked with the Australian Securities and Investments Commission in Brisbane, the Serious Fraud Office in London and the Companies Investigation Branch of the Department of Trade and Industry in London, performing corporate investigations and conducting civil litigation and criminal prosecutions arising from those investigations.
Specialist Experience
Jayne provides the governing bodies of companies, associations, statutory bodies and other organisations with a variety of specialist governance and compliance advisory services including:
- Advice regarding issues under the Corporations Act 2001 (Cth), Australian Securities and Investments Commission Act 2001 (Cth), Associations Incorporation Act 1981, Government Owned Corporations Act 1993, Financial Accountability Act 2009, Statutory Bodies Financial Arrangements Act 1982, Right to Information Act 2009, Information Privacy Act 2009, Integrity Act 2009, Judicial Review Act 1991, Public Records Act 2002, Public Interest Disclosure Act 2010, Public Service Act 2008, Public Sector Ethics Act 1994, Anti-Discrimination Act 1991 and statutory bodies’ enabling legislation.
- Drafting, reviewing and advising on governance and compliance documentation including constitutions, governance manuals, Board charters, Board committee terms of reference, codes of conduct, delegations and governance and compliance policies and procedures.
- Advice regarding officeholders' responsibilities and duties including with regard to declarations and conflicts of interest and regulatory enquiries and investigations.
- Company secretarial support.
- Assisting in the preparation and presentation of board evaluations.
- Assisting in the preparation and presentation of board inductions, workshops and seminars.
