It has recently come to our attention that a complication has developed for incorporated associations wishing to transition to a public company limited by guarantee. The issue arises out of the implementation of a simplified transition process, which, though available for some time now in other States, has only recently been introduced in Queensland (through Part 11A of the Associations Incorporation Act 1981).

In December 2012, the Federal Government released a consultation paper concerning the introduction of governance standards for registered charities, as part of the Australian Charities and Not-for-profits Commission (ACNC) regulatory framework. Subject to further consultation, the standards are proposed to apply from 1 July 2013 and are intended to ensure that a minimum standard of governance is being met across all registered charities, whilst allowing enough flexibility to manage the organisation’s undertakings in accordance with its purposes and objectives.
